Please read these Terms and Conditions ("Terms," "Agreement") carefully before using topdesignr.com (the "Site") or engaging our design services (the "Services"). By accessing the Site, placing an order, or subscribing to a plan, you ("Client," "you") agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Overview

Topdesignr ("Company," "we," "us," "our") is a productized graphic design service that provides branding, UI/UX, marketing, and visual design services on a fixed-price or subscription basis. Topdesignr is operated from Bangladesh and serves clients primarily in the United States and United Kingdom.

2. Eligibility

You must be at least 18 years old and have the legal authority to enter into this Agreement, either on your own behalf or on behalf of a company you represent. By submitting an order, you confirm you meet these requirements.

3. Services

3.1 Service Types. Topdesignr offers (a) fixed-price one-off design services by category, and (b) monthly subscription plans (Starter, Growth, Studio), each with defined scope, deliverables, and turnaround times as described on the Site or in your order confirmation.

3.2 Scope of Work. Each order or subscription tier includes a defined number of requests, revisions, and deliverable formats. Work outside the stated scope (e.g., additional concepts, extra revisions, new categories of work) may incur additional fees or require an upgraded plan.

3.3 Turnaround Times. Estimated delivery times are provided in good faith and depend on request complexity, queue volume, and timely client feedback. Turnaround clocks pause while awaiting client input, assets, or approval.

3.4 Client Responsibilities. You agree to provide clear briefs, timely feedback, and all necessary assets (logos, copy, brand guidelines, licensed images, etc.) required to complete the work. Delays caused by incomplete or delayed input may extend delivery timelines without liability to Topdesignr.

4. Subscriptions

4.1 Billing Cycle. Subscription plans renew automatically on a monthly basis and are billed in advance unless otherwise stated.

4.2 Pausing and Cancellation. You may pause or cancel your subscription at any time, effective at the end of the current billing cycle.

4.3 Unused Requests. Unless otherwise specified in your plan, unused design requests do not roll over to the following month and are forfeited at the end of each billing cycle.

4.4 Plan Changes. Upgrades take effect immediately with prorated billing where applicable. Downgrades take effect at the start of the next billing cycle.

5. Payments

5.1 Fees. All fees are as quoted on the Site or in a signed proposal/invoice, exclusive of applicable taxes unless stated otherwise.

5.2 Payment Terms. Fixed-price projects require full or partial (deposit) payment before work begins, as specified at checkout. Subscription plans are billed via the payment method on file.

5.3 Late or Failed Payments. We reserve the right to pause active work and access to deliverables if payment is late, declined, or reversed until the balance is resolved.

5.4 Currency. Prices may be listed in USD or GBP depending on your region; currency conversion fees, if any, are the Client's responsibility.

6. Revisions

Each service tier or project includes a defined number of revision rounds, stated at the time of order. Revisions must be requested within the applicable review window. Requests that materially change the original brief (rather than refine it) may be treated as a new request and billed accordingly.

7. Refunds

Refunds are governed by our separate Refund Policy, available at https://topdesignr.com/refund, which forms part of these Terms by reference. In the event of any conflict between this section and the Refund Policy, the Refund Policy shall govern.

8. Intellectual Property and File Handover

8.1 Pre-Handover Ownership. Until the handover process described below is complete, all drafts, concepts, working files, and deliverables remain the exclusive property of Topdesignr and its designers, and may not be used, published, reproduced, or distributed by the Client.

8.2 Handover and Ownership Transfer. Intellectual property in the final approved deliverables transfers from Topdesignr (and the assigned designer) to the Client only through Topdesignr's official handover process. This process requires both the assigned designer and the Client to sign a handover/IP transfer document confirming the scope of work delivered and the transfer of rights. This document is generated, recorded, and verifiable through Topdesignr's internal system. Files released outside of this signed handover process are not to be treated as final or licensed for use.

8.3 Verification. The authenticity and status of any handover document, including designer and client signatures, can be verified directly through Topdesignr's system. Clients and third parties may request verification of a handover document's validity by contacting Topdesignr.

8.4 Scope of Transfer. Ownership transfers only to the extent of the final approved deliverables specified in the handover document. It does not extend to preliminary concepts, rejected drafts, working files not listed in the handover, or any Topdesignr internal tools, templates, or processes used to produce the work.

8.5 Third-Party Assets. Any stock photos, fonts, icons, or plugins used in deliverables remain subject to their original third-party licenses. The Client is responsible for ensuring continued compliance with such licenses after handover.

8.6 Portfolio Rights. Topdesignr retains the right to display completed work in its portfolio, website, and marketing materials unless the Client requests confidentiality in writing and Topdesignr agrees in writing.

8.7 Source Files. Editable source files (e.g., Figma, Adobe files) are included in the handover only if specified in the applicable plan or purchased separately.

9. Client Warranties

You represent and warrant that any content, copy, logos, trademarks, or materials you provide to Topdesignr do not infringe on the intellectual property or other rights of any third party, and you agree to indemnify Topdesignr against any claims arising from such materials.

10. Confidentiality

Both parties agree to keep confidential any non-public business, technical, or strategic information disclosed during the engagement, and to use such information solely for the purpose of fulfilling the Services.

11. Limitation of Liability

To the maximum extent permitted by law, Topdesignr's total liability arising from any claim related to the Services shall not exceed the total fees paid by the Client in the three (3) months preceding the claim. Topdesignr shall not be liable for indirect, incidental, consequential, or punitive damages, including loss of profits, data, or business opportunities.

12. Service Availability and Modifications

We may modify, suspend, or discontinue any part of the Services or Site at any time, including plan pricing and scope, with reasonable notice to active subscribers where changes materially affect their plan.

13. Termination

13.1 By Client. You may terminate a subscription per Section 4.2. Fixed-price projects may be cancelled subject to our Refund Policy.

13.2 By Topdesignr. We reserve the right to suspend or terminate service to any Client who violates these Terms, engages in abusive conduct, provides unlawful content, or fails to make payment.

14. Independent Contractor Relationship

Topdesignr provides Services as an independent contractor. Nothing in these Terms creates an employment, partnership, joint venture, or agency relationship between the parties.

15. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of the People's Republic of Bangladesh, without regard to conflict of law principles. Any dispute arising out of or relating to these Terms or the Services shall first be addressed through good-faith negotiation between the parties. If unresolved within thirty (30) days, the dispute shall be subject to the exclusive jurisdiction of the courts of Bangladesh.

16. Privacy

Use of the Site and Services is also governed by our Privacy Policy, available at https://topdesignr.com/privacy, which describes how we collect, use, and protect your data.

17. Force Majeure

Neither party shall be liable for delays or failure to perform due to events beyond reasonable control, including natural disasters, internet or power outages, or governmental action.

18. Changes to These Terms

We may update these Terms from time to time. Continued use of the Services after changes take effect constitutes acceptance of the revised Terms. Material changes will be communicated to active clients via email.
